Welcome to MERITUS360. These Terms of Service ("Terms") govern your access to and use of the MERITUS360 platform, applications, and related services (collectively, the "Services") provided by MERITUS360 LLC ("we," "us," or "our"). By using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Eligibility & Accounts

• You must be at least 18 years old and authorized to accept these Terms on behalf of yourself or your organization.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. License & Acceptable Use

• We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.
• You may not:

• Reverse engineer, copy, or resell the Services.
• Use the Services to transmit unlawful, harmful, or infringing content.
• Interfere with or disrupt the integrity, security, or performance of the Services.

3. Customer Data

• You retain all rights to data you upload ("Customer Data").
• We process Customer Data only to provide the Services, in line with our Privacy Policy.
• You are responsible for ensuring your Customer Data does not violate applicable laws or rights of others.

4. AI-Generated Content

• The Services may generate AI-assisted outputs based on your inputs.
• You are responsible for reviewing and validating all outputs before use.
• We make no warranties regarding accuracy, completeness, or fitness for a particular purpose of AI-generated content.

5. Security & Privacy

• We implement administrative, technical, and physical safeguards designed to protect your data, as described in our Privacy Policy.
• You agree not to attempt unauthorized access to the Services or related systems.

6. Fees & Payment

• Certain Services may require payment. Fees and payment terms will be provided separately.
• Fees are non-refundable except as required by law.

7. Suspension & Termination

• We may suspend or terminate your account if you violate these Terms or misuse the Services.
• You may terminate at any time by ceasing use of the Services.
• Certain provisions (e.g., disclaimers, liability limits) will survive termination.

8. Disclaimers

• The Services are provided "as is" and "as available."
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

• To the fullest extent permitted by law, MERITUS360 shall not be liable for indirect, incidental, special, or consequential damages.
• Our aggregate liability shall not exceed the amount you paid to use the Services in the 12 months preceding the claim.

10. Indemnification

• You agree to indemnify and hold harmless MERITUS360 from any claims, damages, or expenses arising out of your use of the Services or violation of these Terms.

11. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
• Disputes will be resolved through binding arbitration in Arizona, unless otherwise required by law.

12. Changes to Terms

• We may update these Terms from time to time. Changes will be effective when posted on our website. Your continued use of the Services constitutes acceptance of the updated Terms.
