Meritus360 Terms of Service

Welcome to MERITUS360. These Terms of Service ("Terms") govern your access to and use of the MERITUS360 platform, applications, and related services (collectively, the "Services") provided by MERITUS360 LLC ("we," "us," or "our"). By using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Eligibility & Accounts

• You must be at least 18 years old and authorized to accept these Terms on behalf of yourself or your organization. Of legal age for your residence.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. License & Acceptable Use

We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

You may not:

• Reverse engineer, copy, or resell the Services.

• Use the Services to transmit unlawful, harmful, or infringing content.

• Interfere with or disrupt the integrity, security, or performance of the Services.

• Access or use the Services through unapproved tools or interfaces, including automated scripts, bots, scraping tools, or AI/ML/LLM integrations, except where such tools are expressly permitted in writing by MERITUS360.

• Tools designed to enhance accessibility for users with disabilities may be used consistent with recognized accessibility standards (e.g., WCAG 2.1).

3. Customer Data

• You retain all rights to Customer Data, defined as the information, documents, and materials you upload to the Services.
• We process Customer Data only to provide the Services, as outlined in our Privacy Policy.
• You are responsible for ensuring your Customer Data does not violate applicable laws or third-party rights.

AI and Data Use

Certain features of the Services may use anonymized or de-identified Customer Data to improve AI, machine learning, or large-language-model performance. Once integrated into such models, this data cannot be individually extracted or deleted due to the technical nature of model training.

Data Removal Requests

Requests to delete or remove Customer Data from our systems may be submitted to privacy@meritus360.com.

System Data

Information such as connection metadata, user-agent details, and usage logs is considered System Data and remains the property of MERITUS360. While safeguarded under similar security standards, System Data is retained and used at our discretion, subject to applicable law.

4. AI-Generated Content

The Services may generate AI-assisted outputs based on your inputs.

• You are responsible for reviewing, validating, and approving all outputs before use.
• MERITUS360 makes no warranties regarding the accuracy, completeness, legality, or fitness for a particular purpose of AI-generated content.

5. Security & Privacy

We implement administrative, technical, and physical safeguards designed to protect your data, as described in our Privacy Policy.

You agree not to attempt unauthorized access to the Services or related systems.

6. Fees & Payment

Some Services may require Payment.

• Applicable fees and payment terms will be provided separately.
• Fees are non-refundable except as required by law.
• We reserve the right to modify pricing or billing terms with reasonable notice.

7. Suspension & Termination

We may suspend or terminate your account if you violate these Terms, misuse the Services, or if continued access poses a risk to the system or other customers. Determinations are made at our reasonable discretion and may consider usage patterns, connection activity, or suspected credential compromise.

Accounts may also be temporarily suspended to protect data integrity or system security. Following resolution, MERITUS360 may reinstate the account without liability for any resulting disruption.

You may terminate your use of the Services at any time by discontinuing access.
Sections relating to disclaimers, limitations of liability, and indemnification will survive termination.

8. Disclaimers

The Services are provided "as is" and "as available."

MERITUS360 makes no guarantees of uptime, performance, or uninterrupted availability.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law:

• MERITUS360 shall not be liable for indirect, incidental, special, consequential, or punitive damages.

• Our total aggregate liability shall not exceed the amount you paid to use the Services in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless MERITUS360, its officers, employees, and affiliates from any claims, damages, or expenses arising from your:

1. use of the Services,
2. violation of these Terms, or
3. infringement of any third-party rights
4. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

All disputes shall be resolved through binding arbitration conducted in Arizona, in English, under the rules of the American Arbitration Association (AAA), unless otherwise required by law.

12. Changes to Terms

We may update these Terms from time to time.

Changes will be effective when posted on our website. Continued use of the Services after such posting constitutes your acceptance of the updated Terms.
